Please read these terms carefully before using eSigno. By accessing or using our platform, you agree to be bound by these terms and all applicable laws and regulations.

1Acceptance of Terms

Welcome to eSigno ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website located at app.esigno.com.au and all associated services, features, and content (collectively, the "Platform").

By accessing or using eSigno โ€” whether by creating an account, using any free feature, or simply browsing the Platform โ€” you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

If you are using eSigno on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, "you" refers to both you and that organization.

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use eSigno. By using the Platform, you confirm that you meet these requirements.

2Description of Services

eSigno is a fully digital identity and document management platform that offers the following core services:

  • Email Signature Builder โ€” Create professional, branded HTML email signatures compatible with Gmail, Outlook, Apple Mail, Google Workspace, Office 365, Yahoo Mail, Thunderbird, and iPhone Mail.
  • Digital Signatures โ€” Legally binding electronic signatures for documents, compliant with international e-signature standards and recognized in 180+ countries.
  • Digital Business Cards โ€” Interactive, shareable digital business cards for modern professional networking.
  • NFC Cards โ€” Smart NFC-enabled physical cards that instantly share your contact details when tapped.
  • Document Management โ€” Upload, sign, send, and manage documents securely within the Platform.

eSigno reserves the right to modify, suspend, or discontinue any service or feature at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

Certain services may be provided in partnership with third-party providers including GoloSign. Use of such integrated services may be subject to additional terms presented at the time of use.

3Account Registration

Some features of eSigno are available without registration (e.g., the basic email signature builder). However, to access the full suite of services, you must create an account.

When registering, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate.
  • Keep your login credentials confidential and not share them with any third party.
  • Notify us immediately at support@esigno.com of any unauthorized access to your account.
  • Accept responsibility for all activities that occur under your account.
eSigno will never ask for your password via email, phone, or chat. If you receive such a request, treat it as fraudulent and report it to us immediately.

We reserve the right to refuse registration, suspend, or terminate accounts at our sole discretion, including for violations of these Terms or suspected fraudulent activity.

4Acceptable Use

You agree to use eSigno only for lawful purposes and in accordance with these Terms. You must not use the Platform to:

  • Violate any applicable local, national, or international law or regulation.
  • Transmit, upload, or distribute any content that is fraudulent, defamatory, obscene, offensive, or unlawful.
  • Forge or falsify any e-signature, document, or identity information.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Introduce any virus, malware, ransomware, or other harmful code to the Platform.
  • Attempt to gain unauthorized access to any part of the Platform, server, or connected system.
  • Use automated tools, bots, scrapers, or crawlers to extract data from the Platform without our prior written consent.
  • Engage in any activity that interferes with or disrupts the integrity or performance of the Platform.
  • Use the Platform to send unsolicited bulk communications (spam).
  • Circumvent any security or authentication mechanisms.

We reserve the right to investigate any suspected violations and, at our discretion, remove content, suspend access, or refer matters to relevant law enforcement authorities.

5Intellectual Property

All content, design, code, trademarks, logos, service marks, templates, and materials on the eSigno Platform โ€” including the "eSigno" name and logo โ€” are the exclusive intellectual property of eSigno or its licensors and are protected by Australian and international intellectual property laws.

Subject to your compliance with these Terms, eSigno grants you a limited, non-exclusive, non-transferable, revocable licence to:

  • Access and use the Platform for your personal or internal business purposes.
  • Download and install email signatures generated by the Platform into your email client.
  • Share digital business cards created using the Platform.

You must not:

  • Copy, reproduce, modify, distribute, or create derivative works from any Platform content without our prior written consent.
  • Remove or alter any copyright, trademark, or proprietary notices.
  • Use our trademarks or branding in any way that implies affiliation or endorsement without our express written permission.
  • Reverse engineer or decompile any part of the Platform's software.

You retain ownership of the content you upload to eSigno (e.g., logos, profile photos, document content). By uploading such content, you grant eSigno a limited, worldwide, royalty-free licence to host, store, and process that content solely for the purpose of delivering the Platform's services to you.

6Electronic Signatures & Legal Validity

eSigno's digital signature functionality produces legally binding electronic signatures that comply with major international e-signature frameworks, including:

  • Australia โ€” Electronic Transactions Act 1999 (Cth) and corresponding state legislation.
  • United States โ€” Electronic Signatures in Global and National Commerce Act (ESIGN) and UETA.
  • European Union โ€” eIDAS Regulation (EU) No 910/2014.
  • United Kingdom โ€” Electronic Communications Act 2000.
  • Applicable laws in 180+ countries worldwide.
While eSigno's signatures are recognized in 180+ countries, certain document types โ€” including wills, testamentary documents, and some real estate contracts โ€” may require wet-ink signatures in specific jurisdictions. You are solely responsible for ensuring the validity of electronic signatures for your specific use case.

All signed documents are secured using AES-256 encryption and include an audit trail containing timestamps, IP addresses, and signer identity information. eSigno acts as a neutral platform and does not verify the legal identity of signatories beyond the information provided during the signing process.

You represent and warrant that you have obtained all necessary consents from all parties before using eSigno to collect electronic signatures on any document.

7Data & Privacy

Your privacy is important to us. Our full Privacy Policy, incorporated by reference into these Terms, describes how we collect, use, store, and disclose information about you. By using eSigno, you consent to our data practices as described therein.

In summary, eSigno:

  • Encrypts all documents and sensitive data using AES-256 encryption at rest and in transit.
  • Does not sell your personal data to third parties for marketing purposes.
  • Retains signed document data only as long as necessary to provide the service or as required by law.
  • Complies with applicable data protection legislation, including Australia's Privacy Act 1988.
  • May use anonymized, aggregated usage data to improve the Platform.

You are responsible for ensuring that any personal data you upload or collect through eSigno (e.g., recipient information for document signing) complies with applicable privacy laws, including obtaining any required consents from data subjects.

Do not upload sensitive personal information (e.g., government ID numbers, medical records) beyond what is strictly necessary to complete a transaction on the Platform.

8Payments & Billing

eSigno offers both free and paid tiers. The basic email signature builder is free and requires no account. Paid plans unlock additional features including advanced document signing, digital business cards, NFC card services, and priority support.

By subscribing to a paid plan, you agree to:

  • Pay all applicable fees as displayed at the time of subscription.
  • Provide accurate and current billing information.
  • Authorize eSigno (or its payment processor) to charge your payment method on the applicable billing cycle.
  • All fees are quoted in Australian Dollars (AUD) unless otherwise stated.

Refunds: Subscription fees are generally non-refundable. If you believe you have been charged in error, contact us at support@esigno.com within 14 days of the charge and we will review your request.

Cancellation: You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.

eSigno reserves the right to change pricing at any time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

9Disclaimers

eSigno provides the Platform on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, eSigno expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including:

  • Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
  • That the Platform will meet your specific requirements or be uninterrupted, timely, or error-free.
  • That results obtained from the use of the Platform will be accurate or reliable.
  • That any errors or defects in the Platform will be corrected.

While eSigno targets a 99.9% uptime SLA, we do not guarantee uninterrupted access to the Platform. Scheduled maintenance, emergency repairs, and circumstances beyond our reasonable control may result in temporary unavailability.

eSigno does not provide legal advice. Nothing on the Platform constitutes legal advice, and you should consult a qualified legal professional regarding the enforceability of electronic signatures in your specific jurisdiction and use case.

10Limitation of Liability

To the fullest extent permitted by applicable law, eSigno, its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, data, goodwill, or business opportunities.
  • Unauthorized access to or alteration of your data or documents.
  • The conduct or content of any third party using the Platform.
  • Errors or omissions in any content on the Platform.
  • Any damages arising from reliance on the legal validity of an electronic signature.
In no event shall eSigno's total cumulative liability to you for all claims arising from or relating to these Terms or your use of the Platform exceed the greater of (a) the amount you paid to eSigno in the 12 months preceding the claim, or (b) AUD $100.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

11Termination

Either party may terminate these Terms at any time. You may terminate by closing your account and ceasing use of the Platform. eSigno may terminate or suspend your access immediately, without prior notice or liability, for any reason, including if:

  • You breach any provision of these Terms.
  • We reasonably suspect fraudulent, abusive, or unlawful activity.
  • Required to do so by law or a regulatory authority.
  • We decide to discontinue all or part of the Platform.

Upon termination, your right to use the Platform ceases immediately. We may delete your account data after a reasonable retention period, subject to our legal obligations. Provisions of these Terms that by their nature should survive termination (including intellectual property rights, disclaimers, and limitation of liability) shall survive.

12Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New South Wales, Australia, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be referred to mediation conducted in Sydney, Australia under the rules of the Resolution Institute.

If mediation fails, disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia. Notwithstanding the above, eSigno may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

13Changes to These Terms

eSigno reserves the right to update or modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page with a revised 'Last Updated' date.
  • Sending an email notification to the address associated with your account (for registered users).
  • Displaying a prominent notice within the Platform.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Platform and may close your account.
